عدم تقارن اطلاعاتی در سرمایه‌گذاری خطرپذیر: تأملی در چارچوب عقد شرکت و مضاربه

چکیده

یکی از مهم‌ترین چالش‌ها در فرایند سرمایه‌گذاری خطرپذیر، انعقاد قرارداد میان سرمایه‌گذار خطرپذیر و شرکت کارآفرین است. علت این امر نیز در ماهیت غیرقابل پیش‌بینی بودن آینده همکاری و غیرملموس بودن دارایی‌های کارآفرین و عدم تقارن اطلاعاتی نزد طرفین می‌باشد و باعث شده است راهکارهای پیش‌گیرانه، انگیزشی و کنترلی گوناگونی در تدوین مفاد قرارداد به‌کار گرفته شود تا چالش‌های آتی به حداقل رسانده شود. از میان عقدهای اسلامی، دو عقد شرکت و مضاربه بیشترین شباهت را با تعامل سرمایه‌گذار خطرپذیر و کارآفرین دارند. انعقاد قرارداد سرمایه‌گذاری خطرپذیر اسلامی با توجه به نوع عقدی که پایه و اساس آن قرار می‌گیرد، آثار گوناگونی بر تعامل‌های کارآفرین و سرمایه‌گذار دارد.
 بررسی آثارپیش‌گفته به منظور تعیین نوع قرارداد اسلامی و بررسی راهکارهای یادشده از دید این‌دو عقد، هدف مقاله پیش رو است. مطالعه پیش رو نشان می‌دهد انعقاد قرارداد سرمایه‌گذاری خطرپذیر اسلامی بصورت عقد شرکت از بُعد امکان فسخ قرارداد، ضمانت مال شرکت در صورت زیان‌دهی و مدت‌دار بودن قراداد، بهتر می‌تواند با بروز مسئله کارگزاری مقابله کند.

چکیده [English]

One of the most challenging steps of venture capital process is contracting between investor and entrepreneur. This challenge is the result of unpredictable future of partnership, difficult valuation of entrepreneur's intangible assets and information asymmetry between participants. So there had been created diverse controlling and incentive methods in deal completion to minimize future challenges. Among Islamic financial contracts (Uqud), Shirkah (Mushaarakah) and Mudhaarabah has the most similarity to venture capital contracts. As choosing a specific framework for contracting, influences interacts between entrepreneur and venture capital, the main purpose of this article is considering these influences for choosing suitable Islamic contract framework, which reduces agency problem. This study shows Shirkah (Mushaarakah) contract can better confront agency problem from the viewpoint of contract termination, guaranteeing in case of loss and time limit of contract.
